MMFA is governed by a ten-member Board of Trustees. Trustees are appointed by the Provincial Elders’ Conferences of the Northern and Southern Provinces, with an equal number of trustees from both provinces. Trustees serve a maximum of two four-year terms. The Chair, who serves a two-year term in that position, is elected by the Trustees and rotates between representatives from the two provinces. In this way, a strong Interprovincial purpose prevails.
The role of the Trustees includes:
- To represent the interests and needs of the Moravian Church in America in the development and work of the Foundation.
- To develop policies that govern the operation of the Foundation.
- To review and approve the Foundation’s annual budget.
- To identify and evaluate the performance of Foundation’s investment manager.
- To hire and evaluate the President’s job performance.
- To review and evaluate the effectiveness of the Foundation’s services and programs.
- To select the Foundation’s Auditor and General Counsel.
The Board has two standing committees:
- the Executive Committee:
- Acts on behalf of the full Board during the period between meetings of the Trustees, and
- Oversees personnel issues that may arise from time to time.
- the Investment Committee:
- Oversees the investment policies, and
- Monitors investment performance and the investment managers.
The Trustees meet semi-annually, with the meeting sites rotating between the Northern and Southern Provinces. In addition, the Trustees may occasionally call for meetings via conference call.
